Terms and Conditions
Draft of 25 October 2026, to be reviewed by a lawyer before payments go live. This is a translation of the Polish terms. Fields in square brackets will be completed with company details.
1. Who provides the service
- The markignite.com website (the “Website”) is operated by MR Group sp. z o.o., a limited liability company registered in Poland, with its registered office in [city], [address], entered in the National Court Register (KRS) under number [KRS], tax ID (NIP) [NIP], REGON [REGON], share capital PLN [amount] (the “Provider”, “we”, “us”).
- Contact: email kontakt@markignite.com, postal address as above.
- These Terms govern the provision of electronic services and the conclusion of contracts for the supply of digital content through the Website.
2. Definitions
- Customer: a natural person, legal person or organisational unit using the Website. Consumer: a Customer who is a consumer, i.e. a natural person acting for purposes outside their trade, business or profession. Under Polish law, the provisions on Consumers also apply to a sole trader concluding a contract directly related to their business where the contract is not of a professional nature for them.
- Logo Maker: a free tool that prepares logo proposals based on the business name, industry and style.
- Premium (AI mode): a feature in which an artificial intelligence model designs logo proposals based on the Customer's description and, optionally, up to two example images. The examples serve only as inspiration. The Customer adds only images they are entitled to use for this purpose and does not ask us to reproduce someone else's mark. The preview is free and watermarked.
- Files: digital content prepared for the Customer: logo files, brand guidelines, Word documents, business cards, graphics, a website and other items listed in the Package description.
- Package: a paid set of Files or services described in the pricing section (Premium Logo, Logo animation, Brand, Business, Website + Brand).
3. Technical requirements
- To use the Website, you need a device with an up-to-date browser (Chrome, Safari, Firefox, Edge) with JavaScript enabled and an active email address.
- To open the Files, you need software that supports PNG, SVG, PDF, DOCX, PPTX, HTML and ZIP. Most Files are generated in the Customer's browser, so preparing them may take a few seconds.
- The Customer must not provide unlawful content, including content that infringes the rights of third parties, or take actions that disrupt the Website.
4. Free services
- The Logo Maker and the preview in AI mode are free and do not require an account.
- We send the Logo Maker logo to the email address provided as a download link. The contract for the free supply of the logo is concluded when the form is submitted and expires once the link has been delivered. The link also works later, but we do not guarantee that it will remain available indefinitely.
- The newsletter is provided only with the Customer's separate consent and can be ended at any time by clicking the unsubscribe link in a message or by writing to the contact address.
- The number of designs in AI mode may be limited (e.g. to a few per hour) to protect the Website against abuse.
5. Orders and payments
- Prices shown on the Website are gross prices and include VAT where applicable. In the language versions of the Website, the Customer may choose the currency (PLN, EUR, USD, GBP). The amount and currency shown on the payment page are binding.
- To place an order, the Customer chooses a logo and a Package, enters an email address, accepts these Terms and proceeds to payment. The contract is concluded when the order is confirmed on the payment page.
- Payments are processed by Stripe Payments Europe Ltd. The available methods (card, Apple Pay, Google Pay and, for payments in PLN, BLIK and Przelewy24) may vary by currency, country and device.
- Payment confirmation is sent by Stripe. We issue a VAT invoice on request sent to the contact address with the invoice details and order number.
- When upgrading to a higher Package for the same logo, the payment page automatically deducts the amount paid earlier for Files included in the new Package (in the same currency). The Customer pays the difference.
6. Delivery of Files
- Once payment has been received, we email the Customer a link to the page with the Files, usually within a few minutes. For some payment methods, this may happen after the bank confirms the transfer.
- On the Files page, the Customer can enter details to appear on business cards, letterhead and other documents (e.g. name, phone, address). The Customer is responsible for the accuracy of these details. Files can be generated again, e.g. after the details change.
- Revisions included in the Package (changes to colour, typeface, layout or text within the chosen logo) must be requested by email within 30 days of purchase. We complete them within 5 business days.
- The legal documents in the Business and Website + Brand Packages (contract templates, NDA, acceptance report) are templates to be adapted by the Customer. They do not constitute legal advice. For important contracts, we recommend consulting a lawyer.
- Own logo. A Customer who uploads their own logo declares that they hold the rights to it or the right holder's consent, and that its use does not infringe third-party rights. The logo file stays in the Customer's browser. Only the name, colours, typeface, proportions and a file fingerprint reach our server. The same logo file is needed to download the Files again. [to be reviewed by a lawyer]
- Website + Brand. The Business Package Files are delivered at once. The website is provided as a service: after receiving the Customer's brief, we prepare a design within 7 business days, include two rounds of revisions and publish the website on the Customer's domain. The price includes website upkeep (hosting, SSL, backups) for 12 months from publication. After that, upkeep can be extended as a subscription on terms given before the period ends, or the website can be moved to another provider. The domain is not included. Rights to the website and its copy pass to the Customer upon payment. [to be reviewed by a lawyer]
- Google and AI visibility. In the Website + Brand Package we set up or update the Customer's Google Business Profile (description, categories, graphics) in the Customer's account and prepare the website for search engines and AI assistants (e.g. ChatGPT, Gemini, Claude). The Customer completes profile verification under Google's rules. We do not guarantee search rankings or recommendations by AI assistants. [to be reviewed by a lawyer]
7. Right of withdrawal
- A Consumer may withdraw from a distance contract within 14 days without giving a reason, subject to section 2.
- In accordance with Article 16(m) of Directive 2011/83/EU and Article 38(1)(13) of the Polish Consumer Rights Act of 30 May 2014, the right of withdrawal does not apply to a contract for the supply of digital content not supplied on a tangible medium which the Consumer has paid for, if the supply began with the Consumer's express consent before the end of the withdrawal period, the Consumer was informed that they would thereby lose the right of withdrawal and acknowledged this, and we provided confirmation of that consent (in the email with the Files).
- The Consumer gives the consent referred to in section 2 by ticking the box when ordering. Without this consent the order cannot be placed, because we deliver the Files immediately after payment.
- If the right of withdrawal applies (e.g. the Files have not yet been delivered), the statement may be sent to the contact address. We will issue a refund within 14 days using the same payment method.
8. Rights to the Files
- Upon payment, the Customer may use the Files without time or territorial limits, including commercially, in the following ways: recording and reproducing by any technique, placing on the market, making available to the public (including online), modifying and combining with other works. To the extent the Files constitute a work, upon payment we transfer to the Customer the economic copyrights in these fields of use. The Customer may use a logo from the free Logo Maker on the same terms.
- Logos from the Logo Maker are made of elements shared by many users (industry symbols, typefaces, palettes). These elements may also appear in other people's logos. We do not grant exclusivity over them.
- Designs from AI mode are created with the help of artificial intelligence. Under current practice, content generated without creative human input may not be protected by copyright. We do not guarantee that a design will not resemble existing marks.
- The Files use typefaces available under the SIL Open Font License, which may be used commercially. The licence does not allow selling the font files themselves.
- We do not search trademark registers or assess whether a logo can be registered. Before filing a logo with a trademark office (e.g. the USPTO, UKIPO or EUIPO), the Customer should commission such a search.
- The Customer warrants that the business name and content they provide do not infringe the rights of third parties.
9. Complaints and conformity of the Files
- We are liable for the conformity of the Files with the contract in accordance with the rules implementing Directive (EU) 2019/770 (towards Consumers) and the Polish Civil Code.
- Complaints can be sent by email to the contact address. Please include the order number, a description of the problem and the solution you expect.
- We respond within 14 days. If the Files do not conform to the contract, we will bring them into conformity (e.g. by preparing a corrected version). If this is not possible, the Consumer may request a price reduction or withdraw from the contract.
- Consumers may use out-of-court complaint and redress procedures, for example the consumer bodies in their country of residence.
10. Liability
- We make every effort to keep the Website running without interruption. We may temporarily take it offline for maintenance or development.
- Towards Customers who are neither Consumers nor persons referred to in section 2(1), second sentence, our liability is limited to the amount paid for the Package concerned and excludes loss of profits.
11. Personal data
How we process personal data is described in the Privacy Policy.
12. Final provisions
- We may amend these Terms for important reasons (changes in law, changes in the scope of services, security reasons). Changes do not apply to orders placed before they take effect.
- Matters not covered by these Terms are governed by Polish law. This choice of law does not deprive a Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence.
- Disputes with Customers who are not Consumers are resolved by the court competent for the Provider's registered office.
- In the event of any discrepancy between language versions, the Polish version prevails, subject to the mandatory consumer protection rules.
- These Terms apply from [launch date].
